Company Annual General Meeting held on July 1, 2013 approved the aforementioned corporate restructuring, provided by the various wholly-owned subsidiaries/subsidiaries were concentrated in TData. Telefonica Brasil only subsidiary is Telefonica Data S.A., or TData, a wholly owned subsidiary headquartered in Brazil ( worth 2.15 billion usd)

Telefonica Brasil has interest in following companies:

• Aliança Atlântica Holding B.V. (“Aliança”): Jointly-controlled company, with a 50% interest held by the Company, headquartered in Amsterdam
